SBIホールディングスからのTOB（株式公開買い付け）を巡って新生銀行は買収防衛策を取り下げ、今日予定していた臨時の株主総会を中止すると発表しました。　
Shinsei Bank announced that it would withdraw its defense measures against a takeover purchase (TOB) from SBI Holdings and cancel an extraordinary shareholder meeting scheduled for today.
新生銀行は昨日、SBIから「双方で協調し、企業価値向上に努める」という回答を得たことから、取締役会を開きSBIによるTOBに対する意見をこれまでの「反対」から「中立」に変更しました。
Shinsei Bank held a board meeting yesterday after receiving a response from SBI that "we will work together to enhance corporate value" and changed SBI's position on TOB from "opposed" to "neutral".
そのうえで買収防衛策を取り下げ、今日予定していた臨時の株主総会を中止することを決めました。　
It then decided to withdraw the defense measures and cancel an extraordinary shareholder meeting scheduled for today.
SBIは来月8日までTOBを進めて新生銀行の株式の最大48％を取得し、事実上の傘下に収めることを目指します。　
SBI will conduct a buyback tender until next month's 8th, aiming to acquire up to 48% stake in Shinsei Bank and place it under de facto umbrella.
新生銀行は来年2月初旬をめどに臨時の株主総会を開いてSBIが候補としている元金融庁長官の五味廣文氏らを取締役に選任する見通しで、今の取締役は退任する意向です。
Shinsei Bank is expected to hold an extraordinary general meeting of shareholders in early February next year and appoint former FSA Commissioner Hirofumi Gomi, who is a candidate for SBI, as director, and the current directors plan to retire.

SBIホールディングスからのTOB（株式公開買い付け）を巡って新生銀行は買収防衛策を取り下げ、今日予定していた臨時の株主総会を中止すると発表しました。
